2. These Terms

These Terms govern your access to and use of the Nema service, website, and app (the “Service”). By creating an account, accessing the Service, or using Nema, you agree to these Terms.

If you do not agree, do not use the Service.

3. Eligibility

You must be legally capable of entering into a binding contract under applicable law. If you are using the Service on behalf of a business or other organization, you confirm that you have authority to bind that entity to these Terms.

4. What Nema is

Nema is a live private-space messaging service.

Core service characteristics:

  • messages are routed live between participants in a private space;
  • Nema does not provide an offline inbox;
  • Nema does not retain server-side message history or message transcripts;
  • ending a private space stops live delivery for both participants and clears the in-app conversation view.

5. Important limitations

You agree and understand that:

  • No message recovery. Nema does not store server-side message history and cannot restore past messages.
  • No guaranteed delivery. Messages may fail, be dropped, or not arrive because of disconnects, peer unavailability, device issues, network issues, browser issues, or service interruptions.
  • No offline delivery. If the recipient is unavailable, messages are not queued for later delivery.
  • Device changes may affect encryption identity. Moving to a new device or browser may require re-establishing encryption identity for future private spaces.
  • No emergency or safety-critical use. Nema is not intended for emergency communications or for any situation requiring guaranteed delivery, archival retention, legal recordkeeping, or business-critical auditability.

6. Accounts and security

You are responsible for:

  • providing accurate account information;
  • keeping your login credentials and device secure;
  • controlling access to your device, browser, and account;
  • verifying safety numbers where the Service requires or offers verification before sending.

If you lose access to your credentials or device, account recovery may be limited or unavailable.

We may require reauthentication, session invalidation, or device re-establishment for security reasons.

7. Acceptable use

You agree not to:

  • use the Service for unlawful activity;
  • send spam, abuse, or harassing content;
  • interfere with, probe, attack, overload, or disrupt the Service;
  • attempt to bypass security, authentication, rate limits, or usage limits;
  • impersonate another person or misrepresent your identity;
  • use the Service to distribute malware or malicious code;
  • use the Service in a way that risks harm to other users, the Service, or third parties.

We may investigate abuse and take action as described below.

8. Paid plans, pricing, and billing

Nema currently offers only free access unless and until paid plans are published in-app or on our website.

9. Service availability, changes, and suspension

We may change, improve, restrict, suspend, or discontinue any part of the Service at any time, including features, limits, security requirements, or availability.

We may suspend or restrict access to the Service, including your account, if:

  • you violate these Terms;
  • we reasonably suspect abuse, fraud, or security risk;
  • we need to protect the Service, users, or third parties;
  • we are required to do so by law.

Where reasonably possible, we may provide notice, but we are not required to do so in every case.

10. Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service if:

  • you breach these Terms;
  • your use creates legal, security, or operational risk;
  • we discontinue the Service;
  • we are required by law or competent authority.

Termination or suspension does not affect rights or obligations that by their nature should continue, including provisions on liability, disputes, and misuse of the Service.

11. Privacy

Your use of Nema is also governed by our Privacy Policy, which explains how we process personal data and service-related information.

12. Intellectual property

The Service, including its software, design, branding, and related materials, is owned by us or our licensors and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.

You may not copy, reverse engineer, distribute, modify, or create derivative works from the Service except where applicable law expressly permits it.

13. Disclaimers

The Service is provided “as is” and “as available.”

To the maximum extent permitted by law, we do not guarantee that:

  • the Service will be uninterrupted, error-free, or always available;
  • any message will be delivered;
  • any private space will be available at a given time;
  • the Service will meet every purpose, expectation, or compatibility requirement you may have.

You are responsible for deciding whether Nema is appropriate for your intended use.

14. Limitation of liability

To the maximum extent permitted by law, we are not liable for:

  • lost messages;
  • lost data;
  • missed communications;
  • service interruptions;
  • indirect, incidental, special, consequential, exemplary, or punitive damages;
  • loss of profit, loss of business, or loss of opportunity arising from use of the Service.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is unlawful, including any liability that cannot legally be excluded under applicable law.

If you are a consumer, your mandatory rights under applicable consumer law remain unaffected.

15. Governing law and disputes

These Terms are governed by the laws of Romania, without regard to conflict of law rules.

If you are a consumer in the EU/EEA, you may also benefit from mandatory consumer protection rules in your country of residence.

Any disputes arising out of or relating to these Terms or the Service will be submitted to the competent courts of Romania, unless mandatory law provides otherwise.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Service or by other reasonable means. Your continued use of the Service after the updated Terms take effect means you accept the updated Terms.
